Memind.ai is a personal memory extension application that allows users to store, organize, and retrieve memories including documents, text, website content, databases, meeting transcripts, and other knowledge. The Service includes features such as Memory Boxes for organization, sharing capabilities with users, groups, and AI agents, reminder notifications, and AI-powered memory retrieval through natural language queries.

3. Account Registration

To use certain features of our Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your password secure and confidential.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.

4. User Content and Memories

You retain ownership of all content, documents, and memories you upload to Memind.ai ("User Content"). By using our Service, you grant us a limited license to:

• Store, process, and display your User Content to provide the Service.
• Create backups and ensure data integrity.
• Share your User Content with others only as directed by you.
• Process your content through AI systems to enable search and retrieval features.

You are solely responsible for your User Content and ensuring you have the right to upload and share it.

5. Acceptable Use

You agree not to use the Service to:

• Upload or share content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
• Violate any applicable laws, regulations, or third-party rights.
• Upload malware, viruses, or any malicious code.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Use the Service to store or distribute copyrighted material without authorization.
• Interfere with or disrupt the Service or servers.
• Resell, sublicense, or commercially exploit the Service without our permission.

6. Sharing and Collaboration

Memind.ai allows you to share Memory Boxes and individual memories with other users, groups, and AI agents. When you share content, you grant the recipients access to view and interact with that content according to the permissions you set. You are responsible for managing your sharing settings and understanding that shared content can be accessed by those you share with.

7. AI Features and Agents

Our Service includes AI-powered features for memory retrieval, meeting transcription, and automated summaries. AI agents can create memories and interact with your content based on your settings. While we strive for accuracy, AI-generated content may contain errors. You should review AI outputs and not rely solely on them for critical decisions. We are not responsible for any actions taken based on AI-generated content.

8. Reminders and Notifications

You may configure reminders to be sent via app notifications, email, or SMS. Standard messaging rates may apply for SMS notifications. You can manage or disable notifications at any time through your account settings. We are not responsible for any consequences arising from missed or delayed notifications.

9. Intellectual Property

The Service, including its original content, features, and functionality (excluding User Content), is owned by Digital Align and is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless Digital Align and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

13. Termination

We may terminate or suspend your account and access to the Service at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason. Upon termination, your right to use the Service will immediately cease.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction.
